Dividend Reinvestment and Stock Purchase Plan (BPOP)

Popular, Inc. offers to all registered shareholders the convenient opportunity to purchase additional shares of Popular, Inc. common stock on the business day following the 15th calendar day of each month or as soon as practicable thereafter (the “Investment Date”) without any brokerage commissions, fees or service charges. To participate in the Plan you should complete and sign the Authorization Form described below, return it to Banco Popular de Puerto Rico and make your initial cash investment. The initial cash investment's minimum is $100; a maximum of $10,000. Once registered in the Plan, you can make additional optional cash payments for the purchase of additional shares of common stock. The minimum optional cash payment per month you can make is $25.00 and the maximum amount is $10,000.

With the dividend reinvestment option, dividends from your common stock will be automatically reinvested to purchase additional shares of common stock. Dividends reinvestment is made at 95% of the Average Market Price (as such term is defined in the Prospectus).

You may purchase your shares of common stock by authorizing us to debit your checking account (from any bank) directly, or you may send payments (checks or money orders, no cash please). All checks must be in U.S. dollars, drawn on a U.S. bank and must clear before the corresponding investment date. The Plan also offers free custodial service that lets you avoid safekeeping requirements and record-keeping costs.
